PAYLINK BELIZE
VENDOR SERVICES AGREEMENT
This Merchant Services Agreement (“Agreement”) is entered into as of [Effective Date], by and
between:
Paylink Belize, a payment facilitation company operating from the United States (“Paylink,” “we,”
“us”),
and
[Merchant Legal Name], a Belize-registered business (“Merchant,” “you”).

1. Purpose and Nature of Services
Paylink provides payment facilitation, collection, and settlement services that allow Belizean
businesses to accept customer payments via U.S.-based and international payment platforms,
including but not limited to PayPal, Venmo, Zelle, Cash App, and similar services (“Payment
Methods”).
Merchant acknowledges and agrees that:
• Paylink acts solely as a payment intermediary, not as a bank or escrow agent;
• Funds are received by Paylink in the United States and settled to Merchant only after
clearing, verification, and compliance review;
• Paylink retains broad discretion to delay, hold, reject, or report transactions for
compliance, fraud, or legal reasons.

2. Merchant Due Diligence & Obligations
2.1 Required Information
Merchant shall provide and maintain accurate, complete, and current:
• Legal business name, registration, and address;
• Ownership and beneficial owner information (including owners ≥25%);
• Government-issued identification for owners and authorized signatories;
• Description of goods/services offered;
• Belize bank or payout details;
• Any other information reasonably requested for AML and risk assessment.
2.2 Ongoing Verification
Merchant agrees that Paylink may:
• Re-verify Merchant information at any time;
• Require updated documentation periodically;
• Suspend settlements until verification is completed.
Failure to cooperate constitutes a material breach of this Agreement.

3. Anti-Money Laundering & Counter-Terrorist Financing (AML/CTF)
3.1 Compliance with Laws
Merchant represents and warrants that it complies with all applicable AML/CTF laws and
regulations, including but not limited to:
• U.S. Bank Secrecy Act (BSA);
• Applicable U.S. Treasury / OFAC sanctions rules;
• Belize AML/CFT laws and regulations;
• Any other applicable international financial crime laws.
3.2 Prohibited Conduct
Merchant shall not, directly or indirectly:
• Engage in money laundering, structuring, or layering of transactions;
• Accept payments on behalf of undisclosed third parties;
• Use Paylink services to move funds unrelated to bona fide tourist business activity;
• Facilitate terrorist financing, sanctions evasion, or proceeds of crime.

4. Sanctions & Restricted Parties
Merchant represents and warrants that neither Merchant nor its owners, directors, officers, or
customers are:
• Listed on any U.S., UN, EU, or UK sanctions list;
• Located in, or conducting prohibited transactions with, sanctioned jurisdictions.
Paylink may block or freeze funds associated with sanctioned persons or activity and report such
activity to authorities without notice.

5. Anti-Fraud Obligations
5.1 Fraud Prevention
Merchant shall implement reasonable fraud prevention measures, including:
• Verifying customer identities where appropriate;
• Monitoring for suspicious or unusual payment patterns;
• Preventing unauthorized, misleading, or deceptive transactions.
5.2 Fraudulent Activity
Merchant shall not:
• Misrepresent goods, services, pricing, or delivery;
• Process transactions without customer authorization;
• Attempt to disguise the true nature or source of transactions;
• Encourage customers to mislabel payments.

6. Transaction Monitoring & Reporting
Merchant acknowledges and agrees that Paylink:
• Monitors transactions for fraud, AML, and compliance purposes;
• May file Suspicious Activity Reports (SARs) or equivalent reports;
• May cooperate fully with law enforcement and regulators.
Merchant waives any right to notice of such reporting.

7. Holds, Reserves, and Freezing of Funds
Paylink may, at its sole discretion:
• Delay settlement;
• Place rolling or fixed reserves;
• Freeze or withhold funds;
where Paylink determines there is risk related to:
• Fraud or chargebacks;
• AML/CTF concerns;
• Regulatory or legal obligations;
• Platform or banking partner requirements.
Such actions may remain in place until investigations are completed.

8. Chargebacks, Disputes & Reversals
• Merchant is fully responsible for all chargebacks, refunds, reversals, fines, and penalties;
• Paylink may deduct such amounts from current or future settlements;
• Merchant must reimburse Paylink upon demand if balances are insufficient.
Excessive chargebacks may result in immediate termination.

9. Fees
Merchant agrees to pay Paylink all applicable:
• Processing fees;
• Settlement fees;
• Compliance, investigation, or recovery fees where applicable.
Fees may be deducted directly from funds held.

10. Taxes
Merchant is solely responsible for:
• All taxes, duties, and reporting obligations;
• Compliance with Belizean and international tax laws.
Paylink does NOT provide tax advice.

11. Representations & Warranties
Merchant represents and warrants that:
• Its business activities are lawful;
• Funds processed represent legitimate payment for goods or services;
• No transaction involves proceeds of crime;
• All information provided to Paylink is true and accurate.
Breach of this section is grounds for immediate termination.

12. Indemnification
Merchant agrees to indemnify and hold harmless Paylink from any claims, losses, fines, penalties,
investigations, or expenses arising from:
• AML, fraud, or sanctions violations;
• Merchant’s business or customers;
• Breach of this Agreement.

13. Limitation of Liability
Paylink’s total liability shall not exceed the fees paid by Merchant in the three (3) months preceding
the claim, and Paylink shall not be liable for indirect or consequential damages.

14. Termination
Paylink may suspend or terminate this Agreement immediately and without notice for:
• Suspected fraud or money laundering;
• Failure to provide requested information;
• Legal, regulatory, or banking partner concerns.
Outstanding obligations survive termination.

15. Governing Law
This Agreement shall be governed by the laws of the State of [Texas], USA.
